Terms of Service

1. Service Description
Guardrly ("the Service") is an AI Agent operation monitoring platform. It intercepts and records API calls made by AI Agents to external platforms, generates semantic operation labels, triggers alerts based on configurable rules, and produces structured audit reports.
The Service is provided by Guardrly ("we", "us", "our"). By using the Service, you ("User", "you") agree to these Terms.
2. Acceptable Use
You agree to use the Service only for lawful purposes. You must not:
- Use the Service to monitor systems you do not own or have explicit written permission to monitor.
- Attempt to circumvent plan limits or abuse the free tier (e.g., creating multiple accounts to bypass limits).
- Reverse engineer, decompile, or extract proprietary algorithms from the Service.
- Use the Service to build a competing product without our written consent.
- Transmit malicious data, viruses, or payloads through the MCP layer.
3. No Liability for Agent Actions
Guardrly is a passive monitoring layer. We observe and record Agent behavior — we do not control, initiate, or modify any Agent action. We are not responsible for:
- Actions taken by your AI Agent on third-party platforms (Meta, Google, Shopify, etc.).
- Account bans, suspensions, or penalties imposed by third-party platforms as a result of Agent behavior.
- Business losses, data loss, or damages arising from Agent operations, whether or not logged by Guardrly.
- The accuracy or completeness of appeal reports submitted to third-party platforms. Reports are provided as-is based on the data logged.
The Service is provided "as is" without warranty of any kind. To the maximum extent permitted by law, our total liability for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.
4. Subscription and Billing
Paid plans are billed monthly or annually through Paddle, our merchant of record. Paddle collects and remits applicable taxes.
- Subscriptions auto-renew until cancelled. You can cancel at any time from Settings → Billing.
- Cancellation takes effect at the end of the current billing period. No prorated refunds for partial months.
- If payment fails, the account downgrades to the Free plan after a 7-day grace period.
- We reserve the right to change pricing with 30 days' notice to existing subscribers.
5. Account and Data
- You are responsible for maintaining the security of your API keys and account credentials.
- We may suspend accounts that violate these Terms or that show signs of abuse, with or without prior notice.
- Upon account deletion, all data is purged within 30 days (see Privacy Policy for details).
6. Termination
Either party may terminate the agreement at any time. We may terminate or suspend access to the Service immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately. Sections 3 (Liability), 7 (Governing Law), and any accrued payment obligations survive termination.
7. Governing Law
These Terms are governed by the laws of the jurisdiction in which Guardrly is incorporated. Any disputes shall be resolved by binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.
8. Changes to Terms
We may update these Terms from time to time. Continued use of the Service after changes constitute acceptance. We will notify you by email for material changes.
